1. Acceptance and Scope
These Terms and Conditions constitute a binding agreement between you and VERIDIA SCIENTIFIC LLC concerning your use of the Prosynthchem website and related services.
By accessing this website, creating an account, submitting an inquiry or order, requesting documentation, or accepting these Terms during checkout, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not submit an order or use any service that requires acceptance of these Terms.
2. Eligibility and Authority
You must be legally capable of entering into a binding agreement. If you act for a company, university, laboratory, institution, government body, or other organization, you represent that you are authorized to bind that organization to these Terms.
You are responsible for providing complete and accurate account, billing, shipping, purchasing-authority, and intended-use information. We may request additional information before accepting or fulfilling an order.
3. Research Use Only
Unless expressly stated otherwise in writing, products offered through this website are supplied solely for lawful laboratory, analytical, educational, and research purposes.
Products are not intended for:
- Human or veterinary consumption;
- Clinical, therapeutic, diagnostic, or preventive use;
- Food, household, cosmetic, or recreational use;
- Administration to humans or animals;
- Unauthorized resale, relabeling, or repackaging;
- Any purpose prohibited by applicable law or regulation.
Purchaser responsibility: You are solely responsible for determining whether a product is suitable and lawfully permitted for your proposed research, handling, storage, transportation, and disposal activities.
4. Product Information and Documentation
We seek to present product names, identifiers, specifications, images, descriptions, and available documentation accurately. Information may be corrected, clarified, or updated when additional records become available.
Product images may be illustrative. Packaging, labeling, document layout, and other non-material details may differ from examples shown on the website.
Certificates, analytical reports, safety documents, and other records are provided only where available and applicable to the identified product, sample, batch, lot, or report record.
Documentation for one product or batch must not be treated as applying to another product or batch unless expressly identified.
We do not claim that every product has been independently verified, certified, approved, registered, or tested unless the applicable record expressly supports that statement.
5. Orders and Manual Review
Submitting an order does not automatically mean that the order has been accepted.
Orders may be manually reviewed for matters including:
- Product availability and requested quantity;
- Product, documentation, or intended-use requirements;
- Billing, shipping, and account information;
- Destination, import, export, or sanctions restrictions;
- Fraud, security, and payment-verification concerns;
- Any additional information reasonably required to process the order.
We may accept, reject, hold, cancel, limit, or request clarification regarding an order before payment or fulfillment.
An order is accepted only when we expressly confirm acceptance or update it to an accepted processing status.
6. Pricing, Currency, Taxes, and Charges
Prices are stated in the currency displayed on the website, quotation, order, or authorized payment page.
Unless expressly stated otherwise, prices may exclude:

- Brokerage or customs-processing fees;

We may correct an obvious pricing, currency, calculation, description, or listing error before accepting or fulfilling an order.
7. Payment and Verification
After order review, an authorized hosted payment option may become available through the customer’s order page.
Payment credentials entered on a third-party hosted payment page are submitted to and processed by the payment provider. They are not entered into a card-payment form hosted directly by this website.
The provider may display available card, wallet, bank-transfer, or other payment methods according to its own availability and rules.
Opening a hosted payment page, returning to this website, seeing a browser success message, or visiting a return URL does not by itself prove that payment has been completed.
An order is marked paid only after payment has been reviewed and confirmed through our authorized verification process.
A hosted payment link may:
- Be restricted to a particular order;
- Be tied to an amount, currency, or provider reference;
- Expire or be invalidated;
- Be replaced by a newer link;
- Become unavailable after payment or order cancellation.
You must not share a hosted payment link with an unauthorized person or attempt to alter its order number, token, amount, currency, reference, or destination.
8. Availability and Inventory
Product availability may change between order submission, manual review, payment-link publication, payment confirmation, and fulfillment.
Unless expressly confirmed otherwise, inventory is not guaranteed or reserved merely because an unpaid order or payment link exists.
If payment has been confirmed but a product is no longer available, we may contact you regarding delayed fulfillment, an approved alternative, partial fulfillment, account credit, cancellation, or refund, as appropriate.
9. Shipping and Delivery
Shipping methods, destinations, documentation requirements, and estimated timelines may vary by product, order, carrier, and destination.
Any stated delivery or dispatch date is an estimate unless expressly confirmed as binding in writing.
We will seek to ship within the timeframe stated in the applicable order confirmation or otherwise within the period required by applicable law. If we cannot ship within the applicable timeframe, we may notify you and offer the option to consent to a revised timeframe or cancel the unshipped portion for a refund.
The purchaser is responsible for:
- Providing a complete and accurate delivery address;
- Ensuring that the recipient is authorized to receive the shipment;
- Obtaining required import permits or destination approvals;
- Complying with customs and destination-country requirements;
- Paying applicable duties, taxes, and third-party charges.
We are not responsible for delays caused by carriers, customs, governmental authorities, inaccurate customer information, purchaser documentation failures, or events outside our reasonable control, subject to rights that cannot be excluded under applicable law.
10. Inspection, Damage, and Missing Items
You should inspect each shipment promptly after delivery.
Claims concerning visible shipping damage, missing items, incorrect products, or shipping discrepancies must be submitted within 14 calendar days after delivery.
A claim should include:
- The applicable order number;
- The product name and quantity;
- A clear description of the issue;
- Photographs of the product, packaging, and shipping label;
- Any other evidence reasonably required to review the claim.
Do not dispose of affected products, labels, or packaging until the claim has been reviewed.
The 14-day reporting period does not create an automatic right of return or refund. Eligibility remains subject to Section 11 and applicable law.
11. Cancellations, Returns, and Refunds
Order cancellation
A cancellation request is not guaranteed after an order has entered review, payment, preparation, documentation, packaging, or fulfillment.
Return requests
An eligible return or refund request must be submitted within 14 calendar days after delivery.
No product may be returned without prior written authorization and return instructions from us.
Products may be ineligible for return where they are:
- Custom-prepared, custom-labeled, or special-order products;
- Temperature-sensitive or subject to controlled storage conditions;
- Opened, used, altered, relabeled, or partially consumed;
- Damaged after delivery or stored improperly;
- Subject to contamination, safety, legal, or chain-of-custody concerns;
- Returned without prior authorization;
- Otherwise non-returnable under the applicable product or order terms.
Approved refunds
Approved refunds will be issued using an available and legally permitted refund method. Processing times may depend on the payment provider and financial institution.
Original shipping, customs, banking, payment-provider, and third-party charges may be non-refundable unless the return results from our error or applicable law requires otherwise.
Nothing in this section limits any right that cannot lawfully be excluded or restricted.
12. Customer Accounts and Security
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- Restricting unauthorized access to your account;
- Reviewing activity performed through your account;
- Providing accurate and current account information;
- Promptly notifying us of suspected unauthorized access.
We may suspend, restrict, or close an account where we reasonably suspect unauthorized activity, false information, fraud, security risk, prohibited conduct, or a violation of these Terms.

You are responsible for determining and complying with all laws and requirements applicable to the purchase, possession, handling, storage, transport, import, export, use, and disposal of products.
You must not:

- Provide false identity, billing, shipping, or intended-use information;
- Attempt to bypass order-review or access-control requirements;
- Manipulate prices, currencies, order references, payment links, or order states;
- Access another customer’s account, order, documentation, or payment link;
- Probe, scan, disrupt, or attack the website or connected systems;
- Upload malware, malicious code, or deceptive content;
- Use automated tools in a manner that disrupts normal website operation;
- Violate applicable sanctions, export, import, chemical-control, or destination restrictions.
We may reject, hold, or cancel transactions involving restricted destinations, restricted parties, prohibited uses, unresolved compliance concerns, or insufficient documentation.
14. Intellectual Property
Unless otherwise stated, website content, branding, page designs, text, graphics, software, and original materials are owned by or licensed to VERIDIA SCIENTIFIC LLC.
You may not copy, reproduce, distribute, modify, reverse engineer, scrape, republish, or commercially exploit protected content without prior written permission, except where applicable law permits.

To the maximum extent permitted by applicable law, aggregate liability relating to a particular order will not exceed the amount actually paid to us for the affected order.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
18. Force Majeure
We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, war, civil disturbance, governmental action, sanctions, labor disputes, carrier disruption, customs delays, utility failure, cyber incidents, supplier interruption, epidemic, or similar events.
Where reasonably possible, we will communicate material delays and available order options.
19. Privacy
Personal information is handled according to our Privacy Policy.
Payment, hosting, analytics, email, shipping, and other service providers may process information according to their own applicable terms, notices, and contractual obligations.
You are responsible for ensuring that personal information supplied on behalf of another person is provided lawfully and with appropriate authority.
